3 Sixty WARRANTY PROCEDURES

AND SPARE PARTS POLICY FOR DISTRIBUTORS

1. General warranty information:

3 Sixty WARRANTY

1. 3 Sixty warrants all it’s new bicycles against defects in materials and workmanship for a period of 1 year.

2. If any defects are noticed in the bicycle, the Customer must stop using the product immediately and should report this to the dealer that sold it within 14 days. Using a damaged bicycle will void the warranty, lead to more extensive damage and may pose a serious hazard to the rider’s health and life.

3. The warranty period starts from the day when the product is purchased. This purchase must be documented with the cash receipt plus filled in warranty card (which includes the following information: date of purchase, serial number of frame, name of bike model, customers name and name of dealer).

4. The warranty applies only to the original owner and is not transferable.

5. Claims under this warranty should be made through the dealer where the bicycle was purchased.

6. The bicycle should be submitted to a mandatory check-up between the 3rd and 5th week from date of purchase (or after 50km of riding) to an authorized bicycle dealer. The confirmation of this check-up

2. Warranty procedures for aftermarket components:

In case of a complaint regarded as grounded about one of the aftermarket components, we will issue a credit note to the distributor for the value of the damaged products, and the distributor will supply the consumer with a new product from his warehouse. The price on the credit note issued by 3 Sixty will be set according to the most recent official distributor price list, and will not be dependent on the actual price paid for the product. In cases where a products price has changed radically since the original invoice, the prices on the credit note will be adjusted individually. Also, if a product has been discontinued, the credit note value will be set according to the price of a similar product that is currently in the product line. In extreme cases where over 20% of all the delivered products in one model group become classified as grounded warranty claims, the company will issue an additional credit note worth 10% of the value of the damaged products to compensate shipping and taxes paid by the Distributor.

In cases where a complaint is rejected under normal warranty replacement, we may classify the case under the Crash Replacement policy, described on the Warranty Card. In such cases, the Distributor should offer a replacement part to the Consumer for 50% of the official catalogue price. If the Consumer takes advantage of this offer, the Distributor should provide 3 Sixty with proof of this sale, and will then receive a credit note from 3 Sixty worth 20% of the product's Distributor Price.

3 Sixty will not participate in any costs of workmanship involved in replacing the aftermarket components in the customers bicycle.

3. Warranty procedures for complete bicycles:

In case of a complaint regarded as grounded about one of the components of the bicycle, the problem will be solved by the following methods:

1. If the product is made by a major third party manufacturer the Distributor should make the warranty claim through the representative of this company in his territory

2. If the product is made by 3 Sixty or another manufacturer that does not have a service center in the Distributor's territory then:

- if it is possible to replace the component with a similar one that is normally available on the market, the Distributor will purchase this component himself, and based on a report to the Company will receive a credit note for the value of that component, however the price should be set at wholesale level or lower.

- if it is not possible for the component to be replaced by a part that is available on the market, the distributor will supply a replacement component from his own stock of spare parts, or if not in stock, 3 Sixty will will supply a replacement product at the soonest possible time.

4. Spare parts policy:

3 Sixty offers a selection of replacement parts for OEM and AM products. They will fit products in the current product line, and in many cases also products from previous years. Replacement Parts order form will be a document that clearly marks which parts are available as spares from us.

General information about spare parts for complete bikes:

a) Please note that we do not offer replacement parts for every single component on the bikes. We expect our distributors to be able to purchase standard parts on the market (such as spokes, tires, chains, etc), as well as be able to replace 3 Sixty OEM parts with 3 Sixty aftermarket parts (of course if under warranty, the cost of this will be refunded).

b) Please note that the specification of replacement parts will not always be 100% identical to the original as this would generate too many SKU.

A full list of replacement parts is shown in the Replacement Parts order form.

Procedure for all parts that we offer as spares (OEM and AM):

Ordering: replacement parts can be ordered in two ways - either in the production cycle order calls shipped from Taiwan, or from stock in China.

To guarantee that you have enough replacement parts, please order them in production cycles from Taiwan. We will try to carry some stock in China but we cannot guarantee that we will have replacement parts in unlimited quantities.

Procedure for replacement parts that you have in your stock: depending on the circumstances, you can either sell them to your customer (for example if the warranty period of a given product has expired) or you can hand them out for free if they are used as warranty replacement parts. In this case we will issue a credit note for the value of this product.

Procedure for spare parts that you do not have in stock, but need as post-warranty service parts-you should place the order to our warranty department and they will put it into our system and issue an invoice. Once we receive the payment they will be shipped at the beginning of then ext month. Shipping costs will be added to the invoice.

Procedure for spare parts that you do not have in stock, but need as warranty replacement parts-you should send the description of the warranty case to our warranty department. Within 14 days we will respond with a decision stating if the case qualifies under warranty. If it does, the replacement part will be shipped at the beginning of the next month (shipping and product will be free of charge to you, however we allow only one shipment per month to each customer. So your orders will always be consolidated and shipped at the beginning of each month).

Procedure for replacement parts in complete bike that are available from the market:

This category contains external parts that can be bought on the market (such as spokes, tires, etc), as well as our own aftermarket 3 Sixty components that will fit the completes.

For the external parts: we ask our distributors to purchase these parts for the customer at wholesale prices from the market, and we will issue a credit note for the wholesale price of this component (or other similar components).

For internal parts - we ask our distributors to supply the replacement parts from his own 3 Sixty stock, and we will issue a credit note for the FOB price from the last price list
